Terms of Service

1. What Proptiva does

Proptiva Africa is a property-operations service. We act as your in-country property operator and coordinate inspections, construction, security, tenant matters, document custody, and payments on properties you put under our care. We are not a real-estate broker, agent, escrow agent, or financial institution.

2. Your account

  • You must be at least 18 years old to open an account.
  • You must give us accurate information when you sign up and keep it up to date.
  • You are responsible for keeping your password secret and for activity that happens on your account. Tell us right away if you suspect unauthorised use.
  • You may close your account at any time. We may suspend or close your account if you break these terms, ask us to do something illegal, or fail to pay.

3. Services and fees

  • Management subscription — a recurring fee for ongoing property management, billed monthly per property under your account.
  • Project quotes — for one-off work (construction, CCTV, solar, tenant placement, etc.), we send you a quote in advance. You approve before work starts. Our fee is included in or itemised on the quote.
  • Pricing is shown in your dashboard before you commit. We may change pricing for future invoices with 30 days' notice; pricing on already-approved projects does not change.

4. Payments

  • Payments are processed by Paystack. Card data never touches our systems.
  • You authorise charges only by approving an invoice or quote inside the portal or app.
  • Subscription payments fail if your card expires or is declined; we'll notify you and pause non-urgent work until payment resumes.
  • Refunds for completed services are at our discretion. Refunds for cancelled or unstarted work are returned, less any non-recoverable third-party costs.

5. What we will do

  • Act reasonably, honestly, and in your interest as your property operator.
  • Vet contractors and suppliers we engage on your behalf, to the standard a reasonable property operator would.
  • Keep records of work, photos, invoices, and payments — visible to you in your dashboard.
  • Tell you promptly if something is going wrong on one of your properties.

6. What we don't do

  • We don't take title to your property. You remain the legal owner.
  • We don't guarantee outcomes outside our control — for example, regulatory approvals, market conditions, tenant behaviour, force majeure events.
  • We are not your lawyer, accountant, or financial advisor. For legal advice, please consult counsel.

7. Vendors and contractors

We engage third-party contractors and suppliers to do physical work. We vet them and supervise their work, but they are independent contractors, not Proptiva employees. We are liable for our own coordination and supervision; we are not strictly liable for every action of every contractor. Where a contractor has caused loss, we will work with you to seek recovery from them.

8. Acceptable use

You agree not to use Proptiva for anything illegal, fraudulent, or harmful — including money laundering, tax evasion, ownership of property obtained through fraud, or harassment of our staff or contractors. We will report serious matters to authorities where required by law.

9. Privacy

How we handle your data is described in our Privacy Policy. By using the service you agree to that policy.

10. Limits on our liability

To the maximum extent the law allows, our total liability to you for any claim related to the service is limited to the management fees you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect or consequential losses (such as lost rental income or expected appreciation). Nothing in these terms limits liability that cannot lawfully be limited — such as fraud or wilful misconduct.

11. Changes to the service or terms

We will let you know about material changes to these terms by email and by an in-app notice. Continued use of the service after a change means you accept the updated terms. If you don't accept them, you may close your account.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be heard by Nigerian courts of competent jurisdiction, unless required by local consumer law in your country of residence.
