Draft for review. These terms describe what you can expect from us and what we expect from you. They will be reviewed by counsel before public launch and may be updated. Questions:
hello@proptivaafrica.com.
1. What Proptiva does
Proptiva Africa is a property-operations service. We act as your in-country property operator and coordinate inspections, construction, security, tenant matters, document custody, and payments on properties you put under our care. We are not a real-estate broker, agent, escrow agent, or financial institution.
2. Your account
- You must be at least 18 years old to open an account.
- You must give us accurate information when you sign up and keep it up to date.
- You are responsible for keeping your password secret and for activity that happens on your account. Tell us right away if you suspect unauthorised use.
- You may close your account at any time. We may suspend or close your account if you break these terms, ask us to do something illegal, or fail to pay.
3. Services and fees
- Management subscription — a recurring fee for ongoing property management, billed monthly per property under your account.
- Project quotes — for one-off work (construction, CCTV, solar, tenant placement, etc.), we send you a quote in advance. You approve before work starts. Our fee is included in or itemised on the quote.
- Pricing is shown in your dashboard before you commit. We may change pricing for future invoices with 30 days' notice; pricing on already-approved projects does not change.
4. Payments
- Payments are processed by Paystack. Card data never touches our systems.
- You authorise charges only by approving an invoice or quote inside the portal or app.
- Subscription payments fail if your card expires or is declined; we'll notify you and pause non-urgent work until payment resumes.
- Refunds for completed services are at our discretion. Refunds for cancelled or unstarted work are returned, less any non-recoverable third-party costs.
5. What we will do
- Act reasonably, honestly, and in your interest as your property operator.
- Vet contractors and suppliers we engage on your behalf, to the standard a reasonable property operator would.
- Keep records of work, photos, invoices, and payments — visible to you in your dashboard.
- Tell you promptly if something is going wrong on one of your properties.
6. What we don't do
- We don't take title to your property. You remain the legal owner.
- We don't guarantee outcomes outside our control — for example, regulatory approvals, market conditions, tenant behaviour, force majeure events.
- We are not your lawyer, accountant, or financial advisor. For legal advice, please consult counsel.
7. Vendors and contractors
We engage third-party contractors and suppliers to do physical work. We vet them and supervise their work, but they are independent contractors, not Proptiva employees. We are liable for our own coordination and supervision; we are not strictly liable for every action of every contractor. Where a contractor has caused loss, we will work with you to seek recovery from them.
8. Workmanship Guarantee
Jobs that Proptiva arranges and supervises come with a limited Workmanship Guarantee. It is a contractual promise from Proptiva Africa Limited on the terms below. It is not an insurance policy, a warranty of fitness for any purpose, or a guarantee of any outcome.
- Guarantee period — 12 months from the completion date for installation, construction and renovation work, and 6 months for minor repairs and maintenance call-outs. The completion date is the date the job is marked complete in your Update bank. Which category a job falls into is stated on its quote; where it is not stated, the 6-month period applies.
- What is covered — a defect in the workmanship of the specific job we arranged, which appears during the guarantee period while the work is being used normally and maintained as advised.
- Conditions — the guarantee applies only if (a) every invoice for the job has been paid in full and your account is not in arrears; (b) you report the defect in writing (app, portal or hello@proptivaafrica.com) within 7 days of noticing it, and before the guarantee period ends; (c) you give us and our vendors reasonable access to the property; (d) no one other than Proptiva or a vendor we engaged has inspected, altered or repaired the work; and (e) you take reasonable steps to limit further damage, such as shutting off water or power, while you wait for us.
- Inspection and our decision — we aim to inspect within 72 hours of your report in the cities we serve. Proptiva decides, acting reasonably and on the evidence (photos, the job record in your Update bank and our inspector's findings), whether a defect is covered. We will share the main findings with you.
- Remedy — if a defect is covered, we will, at our option, repair the work, redo it, or refund the part of the job price that relates to the defective work. That is your sole and exclusive remedy under this guarantee. Our total responsibility under the guarantee for any job is limited to the price you paid for that job.
- Claims that are not covered — if the inspection finds the cause is outside the guarantee, a call-out and inspection fee is payable, and we will offer to carry out any fix as a normal quoted job.
- Exclusions — the guarantee does not cover: misuse, neglect, accidents, overloading or lack of the maintenance we advised; normal wear and tear, including cosmetic wear and fading; ground movement, settlement or structural defects in parts of the building we did not work on; water pressure, water quality, voltage fluctuations or power surges from the public supply or a generator; pests, rodents, damp or flooding; storms, fire, theft, vandalism and other events outside our reasonable control; materials, fixtures or equipment you supplied or chose against our written advice; work you asked us to carry out outside our recommended scope, or after declining work we recommended; temporary or emergency fixes described as such on the job record; and any loss other than the cost of putting the work right.
- Parts and equipment — manufactured parts and equipment (for example pumps, cameras, inverters, batteries and appliances) are covered only by their manufacturer's warranty, which we will help you claim. This guarantee covers only how we installed them.
- Repaired work — repaired or redone work is covered only for the rest of the original guarantee period; a repair does not start a new period.
- Losses we do not cover — the guarantee does not cover indirect or consequential losses such as lost rent, alternative accommodation, damage to contents or loss of use, or losses you could reasonably have avoided.
- Who can claim — the guarantee is personal to the Proptiva client who paid for the job and cannot be transferred, including on a sale of the property, unless we agree in writing.
- Vendors — our vendors are contractually required to correct defects in their own work. Proptiva may recover the cost of a covered repair from the vendor responsible. This guarantee is between you and Proptiva only and gives you no separate rights against any vendor.
- Changes — we may change or withdraw the guarantee for future jobs. Changes do not affect jobs already completed.
9. Acceptable use
You agree not to use Proptiva for anything illegal, fraudulent, or harmful — including money laundering, tax evasion, ownership of property obtained through fraud, or harassment of our staff or contractors. We will report serious matters to authorities where required by law.
10. Privacy
How we handle your data is described in our Privacy Policy. By using the service you agree to that policy.
11. Limits on our liability
To the maximum extent the law allows, our total liability to you for any claim related to the service is limited to the management fees you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect or consequential losses (such as lost rental income or expected appreciation). Nothing in these terms limits liability that cannot lawfully be limited — such as fraud or wilful misconduct. Our responsibility under the Workmanship Guarantee is set out, and limited, in section 8.
12. Changes to the service or terms
We will let you know about material changes to these terms by email and by an in-app notice. Continued use of the service after a change means you accept the updated terms. If you don't accept them, you may close your account.
13. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be heard by Nigerian courts of competent jurisdiction, unless required by local consumer law in your country of residence.
